These Software Terms of Use ("Terms") govern access to and use of software applications, portals, dashboards, digital tools, integrations, and other technology-enabled services made available by or through KAM Business Solutions, LLC ("KAM," "we," "us," or "our"), collectively referred to as the "Digital Services."
By accessing or using the Digital Services, you agree to these Terms. If you are using the Digital Services on behalf of a company or other organization, you represent that you are authorized to accept these Terms on its behalf.
1. Scope
KAM may make Digital Services available in connection with its business and professional services.
Digital Services may include websites, client portals, applications, dashboards, reporting tools, integrations, workflow tools, and other technology-enabled functionality made available from time to time.
Specific features and functionality may vary by client, service, subscription, engagement, or authorized access.
These Terms supplement any applicable service agreement or other written agreement between KAM and a client. If a separate written agreement contains terms that conflict with these Terms, the applicable written agreement will control to the extent of that conflict.
2. Authorized Access and License
Subject to these Terms and any applicable agreement with KAM, KAM grants authorized users a limited, non-exclusive, non-transferable, revocable right to access and use the Digital Services made available to them for legitimate business purposes.
This right does not transfer ownership of any software, technology, content, intellectual property, or underlying systems.
Users may access only the organizations, information, functionality, and Digital Services they are authorized to access.

Clients and users retain their applicable rights in information they provide to KAM or authorize KAM to access ("Customer Data").
The client authorizes KAM to access, process, transmit, store, and otherwise use Customer Data as reasonably necessary to provide, secure, maintain, and support the applicable Digital Services and related services.
KAM's handling of personal information and connected-service data is further described in the KAM Privacy Policy.
Nothing in these Terms transfers ownership of Customer Data to KAM.
6. Third-Party Services and Integrations
Digital Services may interact with or provide connections to third-party platforms and services.
When a user authorizes such a connection, the user represents that they have authority to authorize access to the applicable account and information.
Third-party platforms are independently operated and may be subject to their own terms, privacy policies, availability, security requirements, and technical limitations.
KAM is not responsible for changes, outages, errors, restrictions, or discontinuation of services controlled by third parties.
7. QuickBooks Online Integration
Certain Digital Services may connect with QuickBooks Online when authorized by a client through Intuit's supported authorization process.
By establishing a connection, the client authorizes KAM to access and process QuickBooks information within the permissions granted by the client and as reasonably necessary to provide the applicable Digital Services.
The client is responsible for ensuring that the person authorizing the connection has appropriate authority over the connected QuickBooks company.
KAM does not require ownership of a client's Intuit account and does not obtain ownership of information accessed through the integration.
A client may disconnect an authorized integration where that functionality is available. Disconnecting an integration may stop future access or synchronization but does not necessarily delete information previously incorporated into authorized business records.
Use of QuickBooks Online remains subject to applicable Intuit terms and policies.
8. Artificial Intelligence and Automated Functionality
Digital Services may include artificial intelligence, automation, analytics, forecasting, or other technology designed to assist users with business operations and decision-making.
Automated or AI-assisted outputs may contain errors, omissions, or assumptions and should be reviewed before being relied upon.
Unless expressly stated otherwise in a separate written agreement, such functionality does not constitute legal, tax, accounting, investment, financial, or other regulated professional advice.
Customer QuickBooks data is not used by KAM to train KAM artificial intelligence models.
9. Reports, Forecasts and Business Information
Digital Services may generate reports, projections, forecasts, calculations, alerts, recommendations, or other business information based upon data available to the applicable system.
Results depend upon the accuracy, completeness, timing, and quality of the underlying information.
Forecasts and projections represent estimates based upon available information and are not guarantees of future results.
Users remain responsible for reviewing information and making final business decisions.
10. Intellectual Property
Digital Services may incorporate software, technology, content, trademarks, designs, and other intellectual property owned by KAM or third parties.
All rights in such intellectual property remain with their respective owners.
Nothing in these Terms transfers ownership of KAM's or any third party's intellectual property to a user or client.
KAM names, logos, branding, content, documentation, and other KAM-owned materials may not be used without authorization.
11. Privacy and Security
Use of the Digital Services is subject to KAM's Privacy Policy.
KAM uses reasonable administrative, technical, and organizational measures designed to protect information processed through the Digital Services.
Users acknowledge that no internet-based service, electronic transmission, or data-storage system can guarantee absolute security.
Users must promptly notify KAM if they become aware of suspected unauthorized access involving their use of the Digital Services.
12. Availability, Maintenance and Changes
KAM may update, modify, maintain, enhance, replace, or discontinue features of the Digital Services as reasonably necessary.
Digital Services may occasionally be unavailable because of maintenance, upgrades, third-party services, technical issues, security events, or circumstances outside KAM's reasonable control.
KAM does not guarantee that every feature will remain continuously available or operate without interruption or error.
13. Suspension and Termination
KAM may restrict or suspend access to Digital Services when reasonably necessary because of:

Data retention following termination is subject to applicable agreements, KAM's Privacy Policy, legal requirements, and legitimate recordkeeping obligations.
14. No Guarantee of Business Results
KAM does not guarantee that use of Digital Services will result in particular financial, operational, tax, compliance, marketing, business, or other outcomes.
Digital Services are tools intended to assist users and businesses. Decisions and actions remain the responsibility of the applicable client and authorized users.
15. Disclaimer of Warranties
To the fullest extent permitted by applicable law, Digital Services are provided on an "as available" basis.
Except for warranties expressly provided in a written agreement with KAM, KAM disclaims warranties that may otherwise arise regarding uninterrupted availability, error-free operation, accuracy of third-party information, or fitness for a particular purpose to the extent permitted by law.
Nothing in these Terms excludes warranties or rights that cannot legally be excluded.
16. Limitation of Liability
To the fullest extent permitted by applicable law, KAM will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising solely from use of or inability to use the Digital Services.
Where the Digital Services are provided under a separate written agreement with KAM, applicable limitations of liability contained in that agreement will govern.
Nothing in these Terms limits liability that cannot legally be limited or excluded.
17. Indemnification
To the extent permitted by applicable law, users and clients agree to be responsible for claims, damages, or expenses resulting from their unlawful use of the Digital Services, unauthorized access or use, violation of these Terms, or violation of another person's rights.
Any additional indemnification obligations contained in an applicable written agreement remain in effect.
18. Governing Law
These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles, except where applicable law requires otherwise.
Any contractual venue or dispute-resolution provisions contained in a separate written agreement with KAM will continue to apply.
19. Changes to These Terms
KAM may update these Terms periodically to reflect changes in its services, technology, business practices, legal requirements, or Digital Services.
The current version will be published on this page with the applicable updated date.
Continued use of the Digital Services following an update constitutes acceptance of the revised Terms to the extent permitted by applicable law.
